Terms & Conditions - the basics

1. Introduction

These Terms and Conditions ("Terms") govern the use of marketing services provided by LAG Media ("LAG," "we," "us," or "our"). By using our services, you ("Client," "you," or "your") agree to be bound by these Terms.

2. Services

LAG Media offers a variety of marketing services, including but not limited to:

  • Paid-ads Campaign

  • Website Design and Development

  • Search Engine Optimization (SEO)

  • Chatbot Development

3.Project Engagement

Our typical project engagement process involves:

  • Initial Consultation: We discuss your marketing goals and needs.

  • Proposal Development: We present a customized proposal outlining the scope of work, timeline, and fees.

  • Project Kickoff: Upon your written approval of the proposal, the project commences.

  • Regular Communication: We maintain open communication throughout the project, seeking your feedback and approvals.

  • Project Completion: We deliver the final project deliverables as outlined in the proposal.

4. Fees & Payment

Our fee structure can be hourly, project retainer, or performance-based, depending on the project scope. Additional costs associated with third-party services or software used in the project may apply.

Payment terms are specified in the proposal. We typically require an upfront deposit and milestone payments throughout the project. Late payments may incur a late fee.

5. Client Responsibilities

To ensure project success, you are responsible for:

  • Providing timely approvals on deliverables.

  • Supplying all necessary materials and information for the project.

  • Offering clear and consistent feedback throughout the project.

  • Communicating any changes to project scope promptly.

Delays caused by client-side factors may affect the project timeline and fees.

A legal disclaimer

1. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Bagmati State, Nepal. Any disputes arising from these Terms will be resolved through arbitration in Bagmati.

 

2. Entire Agreement & Severability

These Terms constitute the entire agreement between LAG Media and the client. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

 

3. Amendments

LAG Media reserves the right to modify these Terms at any time. We will notify you of any changes by posting the revised Terms on our website. Your continued use of our services constitutes your acceptance of the revised Terms.

What to include in the T&C document

1. Intellectual Property

LAG Media retains ownership of all intellectual property rights (including copyrights) in the work created for you, unless otherwise agreed in writing. We grant you a non-exclusive license to use the deliverables for your marketing purposes.

 

2. Confidentiality

We maintain the confidentiality of all client information. We may disclose information only under legal requirements or with your written consent.

3. Termination

This agreement may be terminated by either party upon written notice for breach of contract or project cancellation. In case of termination by the client, any outstanding fees will be due and payable. We reserve the right to withhold deliverables until full payment is received.

4. Limitation of Liability

LAG Media is not liable for any indirect, incidental, consequential, or punitive damages arising from our services. Our liability is limited to the total fees paid by the client for the specific service in question.
